The purpose of the Special Membership Meeting is to discuss and vote on the adoption of a proposed amendment to the Bylaws of Los Alisos Homeowners Association (Bylaws) to change the language requiring the Board to hold monthly meetings. The Association believes this amendment will offer more flexibility with the meeting schedule for the Board members and allow the Board to adjust its meeting schedule based on the current needs of the community. The complete text of the proposed amendment is attached with this Notice. The Board encourages you to consider and vote in favor of the proposed amendment, and the Board thanks you for your participation. Required Quorum and Member Approval Pursuant to the Bylaws at Article III, Section 4, quorum for this Special Membership Meeting is the presence (in person or by absentee ballot) of Members entitled to cast one-tenth (1/10) of the votes in the Association. If quorum does not exist at the Meeting, the Members have the power to adjourn the meeting and call another meeting for this purpose, where quorum shall be half of the quorum required at the initially scheduled meeting. Article XII, Section 1 of the Bylaws states that the Bylaws may be amended at a regular or special meeting of the Members by a vote of a majority of a quorum of Members present at the meeting. Proposed Bylaw Amendment Language Proposed Amendment: The Board proposes an amendment to the Bylaws to amend Article VI, Section 1 governing Regular Meetings of the Board of Directors, which would be amended to read as follows, additions in bold / deletions in ( ): Section 1. Regular Meetings. (Once there is no longer a Class B Member), Regular meetings of the Board of Directors shall be held at such time and at such place as shall from time to time be determined by the Board of Directors, but at least quarterly, monthly at such place and hour as may be fixed from time to time by resolution of the Board. Should said meeting fall upon a legal holiday, then that meeting shall be held at the same time on the next day which is not a legal holiday. All meetings of the Board of Directors shall be open to the Members except as otherwise authorized by Arizona law.
