Pursuant to A.R.S. ? 33-1243(H)(6), this Special Meeting of the Members is called to elect a new Board of Directors based on the removal of the entire Board at a Special Meeting of the Members held on May 19, 2026. The election will be held to vote on the three (3) director positions that are currently open. Any Director who was removed at the May 19, 2026 meeting is not eligible to run for the board pursuant to A.R.S. ? 33-1243(H) (7). The name of those members who are seeking to be elected are included on the enclosed Absentee Ballot. Those elected at the meeting will be elected to serve the unexpired term of the recently removed directors, with the individual receiving the most votes serving the longest unexpired term, the individual with the second most votes serving the second longest unexpired term, and the individual with the third most votes serving the third longest unexpired term. This process is meant to ensure staggered term and remain in compliance with Section 3.7 of the Bylaws. The Association must satisfy the quorum requirement before taking official action at the Special Meeting. Quorum for this Special Meeting is the presence in person or by absentee ballot of fifty percent (50%) of the eligible votes of the Association. See Section 2.4 of the Bylaws. So long as a quorum is present, Members may vote to elect three (3) Directors. Cumulative voting is not permitted and members may cast three votes for separate candidates.
